Terms of Service

1. Acceptance of Terms

By accessing or using CryptoBell.Live ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

CryptoBell.Live is a joint venture between Content Syndicate Inc. and Red Apple Media Group. These Terms govern your use of our broadcast media platform, services, and website.

2. Services Description

CryptoBell.Live provides the following broadcast media services:

2.1. 60-Second Power Report

A distilled 60-second broadcast segment edited from a 30-45 minute studio interview. Segments are rotated 15 times per month across Newsmax TV, Red Apple Audio Network (450+ stations), and the Larry Kudlow Show.

2.2. 30-Minute Master Interview

Full studio-grade master interview delivered to the guest for investor relations, social media, and brand authority amplification.

2.3. CryptoBell.Live Ceremony

Premier photo op and media event held at the CryptoBell.Live studio in New York City, including brand display on Nasdaq MarketSite tower in Times Square and global livestream.

2.4. Three-Month Packages

Locked production schedules with price protection, priority access, and first right of refusal on future slots. CPM range: $17 to $25 per thousand impressions.

3. Service Fees and Payment

3.1. Pricing Model

CryptoBell.Live operates on a sponsorship model with pricing based on CPM (Cost Per Mille/thousand impressions). Current pricing ranges from $17 to $25 per thousand impressions.

3.2. Payment Terms

• Payment is due in full before service delivery unless otherwise agreed in writing
• We accept wire transfers, ACH, and other payment methods as specified in your invoice
• Late payments may result in service suspension or cancellation
• All prices are in USD unless otherwise specified

3.3. Price Protection

Three-month package holders receive price protection for the duration of their package term.

4. Booking and Scheduling

4.1. Interview Process

• Interviews are conducted on Mondays at the Red Apple Studio in New York City
• Guests receive a JotForm to submit bio, talking points, and headshot in advance
• Studio sessions are 30-45 minutes
• Edited segments are delivered by Friday and enter rotation the following Monday

4.2. Cancellations and Rescheduling

• Cancellations must be made at least 7 business days before the scheduled interview
• Late cancellations may result in forfeiture of fees or rescheduling fees
• We reserve the right to reschedule due to technical issues or unforeseen circumstances

4.3. Guest Responsibilities

Guests must ensure they have the authority to appear on behalf of their company and that their statements comply with applicable laws and regulations.

5. Content and Intellectual Property

5.1. Ownership

Upon payment in full, clients receive a license to use the broadcast segments and master interviews for their own marketing, investor relations, and promotional purposes.

5.2. CryptoBell.Live Rights

• We retain the right to broadcast, distribute, and syndicate content across our network
• We may use excerpts for promotional and marketing purposes
• We retain ownership of all raw footage and outtakes

5.3. Client Content

Clients represent they have the right to use any logos, trademarks, or intellectual property they provide during broadcasts.

6. Content Guidelines and Restrictions

6.1. Prohibited Content

Guests may not promote:

• Illegal products, services, or activities
• Fraudulent or deceptive schemes
• Violent, hateful, or discriminatory content
• False or misleading investment advice
• Content violating SEC, FINRA, or other regulatory guidelines

6.2. Editorial Control

CryptoBell.Live reserves the right to edit content for length, clarity, legal compliance, and broadcast standards. We retain final editorial control over all broadcast segments.

7. Distribution and Rotations

7.1. Network Commitments

We guarantee 15 rotations per month per segment across our network, subject to network availability and technical considerations.

7.2. Distribution Channels

• Newsmax TV: NYSE and Nasdaq market open and close windows
• Red Apple Audio Network: 450+ stations including Larry Kudlow Show
• Streaming: YouTube, X (Twitter), podcast platforms
• Social Media: Shared across CryptoBell.Live channels

8. Disclaimers and Warranties

8.1. No Investment Advice

Content broadcast on CryptoBell.Live is for informational purposes only and does not constitute financial, investment, legal, or tax advice. Viewers should consult qualified professionals before making investment decisions.

8.2. No Guarantees

While we strive to deliver high-quality services, we do not guarantee:

• Specific air times or placement
• Audience reach or engagement metrics
• Business results or investment outcomes
• Uninterrupted service (technical issues may occur)

8.3. Network Availability

Broadcast distribution is subject to network partner schedules, technical requirements, and force majeure events beyond our control.

9. Limitation of Liability

To the fullest extent permitted by law, CryptoBell.Live, Content Syndicate Inc., Red Apple Media Group, and their affiliates shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits or business opportunities
• Damages exceeding the amount paid for services
• Third-party actions or content
• Network interruptions or technical failures

10. Indemnification

You agree to indemnify and hold harmless CryptoBell.Live, Content Syndicate Inc., Red Apple Media Group, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or regulation
• Your use of our services
• Content you provide or broadcast

11. Termination

11.1. By Client

Clients may terminate services with written notice, subject to cancellation fees and payment for services already rendered.

11.2. By CryptoBell.Live

We may suspend or terminate services for:

• Non-payment or breach of Terms
• Violation of content guidelines
• Disruptive behavior during interviews
• Force majeure events

12. Dispute Resolution

12.1. Governing Law

These Terms are governed by the laws of the State of New York and the United States of America.

12.2. Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and CryptoBell.Live
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
